Terms of Service

1. Agreement

By creating an account or using AlphaI+ ("the Service"), you agree to these Terms of Service ("Terms"). The Service is operated by HuCortex Inc. ("we", "us", "our"). If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. Service Description

AlphaI+ is a multi-tenant professional services management platform that enables firms that bill hours (consulting, law, accounting, agencies, dev shops) to manage client engagements, retainer hours, invoicing, and team operations. Each firm ("Tenant") receives an isolated workspace with independent data, branding, and configuration.

3. Accounts & Access

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • One person may be a member of multiple tenant workspaces simultaneously.
  • Account roles (Admin, Queue Manager, Customer) are assigned by the tenant administrator.

4. Data Ownership

Your data belongs to you. Specifically:

  • All data you create within your workspace (requests, invoices, hours, client records, rate cards) is owned by the tenant administrator.
  • We do not claim ownership of your data.
  • We do not access your data except: (a) to provide the Service, (b) when required by law, or (c) during authorized support sessions with your explicit consent (impersonation with audit trail).
  • You may export your data at any time in machine-readable format (JSON).
  • Upon termination, your data is retained for 90 days, then permanently deleted unless legally required to retain it.

5. Subscriptions & Billing

  • Free trial: 14 days with full access to your plan tier. No credit card required.
  • Billing: Subscriptions are billed monthly or annually via Stripe. Annual subscriptions receive a 20% discount.
  • Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled.
  • Cancellation: You may cancel at any time from your Subscription page. Access continues until the end of your current billing period.
  • Refunds: We do not provide refunds for partial billing periods. If you cancel mid-month, you retain access until the period ends.
  • Price changes: We will notify you at least 30 days before any price increase. You may cancel before the new price takes effect.

6. Service Level

  • Availability target: 99.9% uptime measured monthly, excluding scheduled maintenance.
  • Scheduled maintenance: We will provide at least 24 hours notice for planned maintenance.
  • Data backups: Database backups are performed daily and retained for 30 days.
  • Support: Email support for all plans. Priority support for Growth tier. Dedicated support for Enterprise.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to access other tenants' data
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated tools to scrape or extract data from the Service
  • Upload malicious content, malware, or exploit vulnerabilities
  • Resell or redistribute the Service without authorization
  • Use the Service to send spam or unsolicited communications

8. Tenant Isolation & Security

  • Each tenant workspace is logically isolated using PostgreSQL Row Level Security.
  • Your data is not visible to or accessible by other tenants.
  • Super administrator access is logged with mandatory reason tracking and immutable audit trail.
  • All data is encrypted in transit (TLS) and at rest.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranty of any kind.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
  • We are not responsible for data loss caused by your actions, third-party services, or force majeure events.

10. Termination

  • By you: You may cancel your subscription and delete your account at any time.
  • By us: We may suspend or terminate your account for violation of these Terms, with 30 days notice except in cases of immediate security risk.
  • Effect: Upon termination, your data is retained for 90 days, during which you may export it. After 90 days, data is permanently deleted.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes will be resolved in the courts of Ontario, Canada.
